Terms of Use

1. Eligibility and Authority
You may use the Service only if you are legally able to enter into these Terms and, if you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Rubicon provides software and related tools for campaign operations, analytics, communications, contact management, integrations, and related workflows.
Certain features depend on third-party platforms or service providers, including Meta platforms and APIs, Google Ads integrations, and communications or delivery providers used to support customer outreach workflows. Those dependencies are subject to the availability, rules, and policies of the relevant third party.
3. Accounts
You must notify us promptly at info@crossrubicon.com if you suspect unauthorized access or a security issue.
- Provide accurate registration information.
- Maintain the confidentiality of your account credentials.
- Restrict unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
4. Acceptable Use
- Do not use the Service in violation of any law, regulation, or third-party policy.
- Do not access or use data without proper authorization.
- Do not interfere with or disrupt the Service.
- Do not attempt to reverse engineer, bypass security, or gain unauthorized access.
- Do not upload malicious code or harmful content.
- Do not use the Service to infringe the rights of others.
- Do not use the Service in a way that violates Meta Platform Terms, Google policies, or other applicable platform rules.
- Do not use the Service to send unlawful, deceptive, harassing, discriminatory, or unauthorized communications.
- Do not use contact lists, phone numbers, or message workflows unless you have the right and legal basis to do so.
- Do not ignore or override valid opt-out, suppression, or unsubscribe requests where applicable.
5. Third-Party Integrations
If you connect third-party accounts, including Meta ad accounts, Facebook Pages, or Google Ads accounts, you authorize Rubicon to access and process the data made available through the permissions you grant, you represent that you have the right to provide that authorization, and you acknowledge that third-party services may change, suspend, or discontinue access at any time.
If you use messaging or outreach-related features, you acknowledge that delivery may depend on third-party communications providers and that their availability, restrictions, throughput, content rules, or channel-specific policies may affect service performance.
Rubicon is not responsible for downtime, data limitations, or policy changes imposed by third-party platforms.
6. Customer Data
As between you and Rubicon, you retain ownership of the data you submit to the Service, subject to the rights needed for us to operate, host, process, and improve the Service.
You grant Rubicon a limited, non-exclusive right to use customer data as necessary to provide and maintain the Service, support integrations you enable, generate analytics and reports, secure the platform, and comply with legal obligations. This includes data made available through authorized Meta and Google Ads integrations to the extent required to operate the connected features.
Customer data may include organization-managed contact records, communication history, message content, delivery data, and opt-out or suppression status. You are responsible for ensuring that you have the right to upload, store, use, and communicate with such contacts through the Service.
7. Messaging and Contact Compliance
If you use Rubicon to manage contacts or send communications, you are solely responsible for compliance with applicable laws, regulations, carrier rules, public-gathering-related rules, privacy obligations, and platform requirements relating to those communications.
This includes responsibility for consent or other lawful basis, message content, sender identification, timing restrictions, recordkeeping, recipient rights, suppression lists, and opt-out handling where required.
Rubicon does not provide legal advice and does not warrant that any communication sent through the Service is lawful in your jurisdiction or use case.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and handle information.
9. Suspension and Termination
We may suspend or terminate access to the Service if you violate these Terms, your use creates security, legal, or operational risk, we are required to do so by law, or a third-party integration or communications provider requires us to restrict or remove access.
You may stop using the Service at any time. Certain provisions of these Terms will survive termination by their nature, including provisions relating to ownership, disclaimers, limitations of liability, and dispute-related terms.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN AS IS AND AS AVAILABLE BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. RUBICON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times, or that third-party data sources, integrations, or communication channels will remain available, complete, or deliver messages successfully in every case.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUBICON AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUBICON'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO RUBICON FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR EUR 100 IF NO FEES WERE PAID.
12. Indemnification
You agree to defend, indemnify, and hold harmless Rubicon and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your breach of these Terms, your violation of applicable law or third-party rights, your unauthorized use of third-party data or accounts, or your collection, upload, storage, or communication with contacts through the Service.
13. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Updated Terms will be posted at the relevant public URL with a revised effective date. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the Republic of Croatia, excluding its conflict of laws principles, unless otherwise required by applicable law.
